1. Who we are and when these terms apply
MNRYAN LLC (“MNRyan,” “we,” “us,” or “our”) provides leadership coaching, organizational development and consulting, workshops, and related professional resources. These terms apply to your access to this website and your enquiries and use of its general information. Additional written terms may apply to a particular project, booking, workshop, or purchase. If a signed agreement conflicts with these general terms, the signed agreement controls for that engagement to the extent of the conflict, subject to mandatory law.
2. Website use and information
We make reasonable efforts to keep website content clear and current, but pages may change and may contain errors, omissions, or information that is no longer current. Website descriptions are general information, not a binding offer for every circumstance. Availability, scope, timing, deliverables, and fees are determined by the relevant booking confirmation or written agreement. Do not rely on a draft listing or item marked unavailable as confirmation that it can be purchased.
3. Professional services
MNRyan may provide leadership coaching, organizational development consulting, workshops, skills-development sessions, and related resources. The scope of a particular engagement—including objectives, deliverables, schedule, participant numbers, responsibilities, fees, and assumptions—should be documented in a proposal, booking description, or written agreement. You agree to provide information reasonably needed to perform the agreed work, designate appropriate points of contact, and participate in a timely and professional manner.
Recommendations and facilitation are based on the information made available to us. You remain responsible for evaluating recommendations in light of your organization, people, policies, legal duties, and operational context. We do not control your implementation or the actions of third parties.
4. Bookings, attendance, and changes
You are responsible for providing accurate contact and booking details and reviewing the date, time zone, service description, and any instructions in your confirmation. A request is not final until the booking platform or MNRyan confirms it. Appointment and workshop changes are subject to availability and the cancellation policy posted on this site and any specific terms presented during booking. The current general cancellation window is up to one hour before the scheduled start time. If MNRyan needs to cancel or reschedule, we will use the contact information associated with the booking to communicate next steps.
5. Fees, taxes, and payments
Applicable fees, taxes, payment deadlines, and any deposits or instalments will be stated in the booking flow, checkout, proposal, or written agreement. A price shown for planning purposes does not mean payment or checkout is active. Where a third-party processor is used, payment processing is subject to that provider’s terms and privacy practices. You must not send full payment-card information through ordinary email. Any refund or cancellation rights are governed by the cancellation policy, the terms presented at checkout, the relevant agreement, and mandatory applicable law.
6. Digital materials and permitted use
Unless a product page or written agreement says otherwise, website text, brand elements, workshop materials, downloadable resources, templates, and other original content are owned by MNRYAN LLC or its licensors and are protected by applicable intellectual-property laws. A purchaser receives only the limited licence described on the relevant product page or agreement, typically for their own use or the stated internal use of the purchasing organization. You may not resell, sublicense, publicly post, distribute, or create a competing commercial product from these materials without written permission, except where applicable law permits. Do not remove copyright or attribution notices.
Access to a digital resource may depend on the delivery method, account, or provider used. Do not share private access links or credentials beyond the licence granted. If a file appears damaged or cannot be accessed, contact Mary@mnryan.com with the order reference and a description of the issue.
7. Confidentiality and client information
Information shared during an engagement may be sensitive to you or your organization. The parties should agree in writing on any specific confidentiality, recordkeeping, data-handling, or disclosure obligations required for the engagement. Please do not submit confidential employee, client, health, financial, or other sensitive information through a general website enquiry unless we have agreed on an appropriate method and purpose. Nothing in these general website terms creates a professional privilege or confidentiality duty beyond what applicable law or a separate agreement provides.
8. Acceptable and lawful use
You may not use the website to violate law or another person’s rights; upload malicious code; attempt unauthorized access; interfere with website security or availability; scrape or copy protected content at scale; impersonate another person; submit knowingly false information; or use the services to harass, discriminate, or cause harm. We may take reasonable steps to protect the site and users, including restricting access or preserving relevant records where legally permitted.
9. Third-party services and links
The website may link to or rely on third-party websites and tools, including hosting, booking, payment, email, or file-delivery providers. Those services are controlled by their operators and may have separate terms, availability, fees, privacy notices, and security practices. A link is provided for convenience and does not by itself constitute an endorsement. MNRyan is not responsible for third-party content or systems to the extent permitted by law.
10. No promised outcome; professional boundaries
Coaching, consulting, and organizational development are collaborative processes. Outcomes depend on context, leadership decisions, participant engagement, resources, implementation, and factors outside MNRyan’s control. We do not guarantee a specific financial, employment, organizational, or personal result. Services are not a substitute for legal, accounting, investment, medical, mental-health, or other regulated professional advice.
11. Disclaimers and liability
To the extent permitted by applicable law, the website and general information are provided on an “as available” basis, without a guarantee that access will be uninterrupted, error-free, or suitable for every purpose. Nothing in these terms excludes or limits liability or consumer rights that cannot lawfully be excluded or limited. Any engagement-specific warranty, remedy, or liability allocation should be set out in the relevant signed agreement and reviewed for compliance with applicable law.
12. Indemnity and responsibility
To the extent permitted by law, you are responsible for your use of the website, your submissions, and your compliance with these terms. Nothing in this section creates an obligation to indemnify MNRyan for matters where such an obligation would be unlawful or unenforceable. Any broader indemnity should be expressly agreed in a separate contract reviewed for the relevant engagement.
13. Changes, suspension, and termination
We may update website content and these terms from time to time. Updated terms will be posted here with a revised effective date. We may suspend access where reasonably necessary for security, maintenance, legal compliance, or prevention of misuse. A change to these general terms does not automatically rewrite a signed agreement or remove rights that have already accrued under applicable law.
14. Governing law and disputes
These terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles, except where mandatory law requires otherwise. MNRyan is based in Thiensville, Wisconsin. This clause does not deprive a consumer of mandatory protections or venue rights that cannot lawfully be waived. Parties should first try to resolve a dispute in good faith by contacting Mary@mnryan.com.
15. General provisions
If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later. You may not transfer rights under a separate engagement without the consent required by that agreement. These website terms, together with applicable policies and any signed agreement, describe the relevant terms for the subject they cover.
